Jacksonville, Fla. - July 18, 2013

Florida Blue, Florida’s Blue Cross and Blue Shield plan, is continuing its efforts to increase access, improve quality and drive down costs of health care for our members and partners. We have also continued efforts to implement the Affordable Care Act’s provisions by proactively partnering with both state and federal governments to transform our health care system. The unprecedented change that the health insurance and health care delivery industries are undergoing creates unique opportunities for Florida Blue to extend our leadership position to provide health care solutions for our customers and the communities we serve. To that end, Florida Blue is looking to reorganize under a policyholder-owned, not-for-profit mutual insurance holding company (MIHC) structure that will provide greater flexibility and help enable us to transform within the health care system to deliver a broader array of quality products and services to the people of Florida. Florida Blue will be reorganized as an insurance company under the not-for-profit MIHC. Our policyholders will still control the MIHC and our primary obligation remains to you and our other members. We believe that this is in the best interest of Florida Blue, and will be seeking policyholder approval of this reorganization at the next Annual Meeting of Members. Florida Blue has submitted an application for approval of a Plan of Reorganization to the Office of Insurance Regulation (the “Office”), pursuant to Part III of Chapter 628, Florida Statutes.

Approval of this request will allow Florida Blue to reorganize as a stock insurer - controlled by its sole owner the not-for-profit mutual insurance holding company - under a mutual insurance holding company system. For more details about the proposed transaction, the Office has created a webpage to provide the public with relevant information. Florida law allows the Office of Insurance Regulation to hold a public hearing to solicit public comment on the plan of reorganization. A public hearing has been scheduled for:

Input from Florida Blue as well as other interested parties will occur at this public hearing. As part of the Office’s review, this public hearing is being held to allow members to voice their opinions. Members of Florida Blue are not required to attend the hearing. If you are unable to attend this public hearing, but would like to comment, please forward your comments to the Office of Insurance Regulation at BCBShearing@floir.com; the subject line of your e-mail should read “BCBS.” After the hearing concludes, the record will remain open for 10 days to allow for additional comments.
